1. Who you are contracting with

TheNextGenInnovation is a trading name of NextGen Tech Innovation LLC, a limited liability company registered in the State of Texas, United States, with its registered office at 5734 Kleinpeter Rd, Tr. 44, Baton Rouge, LA 70811, United States. References to “we”, “us” and “our” mean NextGen Tech Innovation LLC.

If you use the platform on behalf of a company, you confirm you are authorised to accept these terms for that company, and “you” means both you and that company.

2. What the marketplace is

TheNextGenInnovation lists software and hardware products supplied by independent third-party sellers, as well as products sold by us directly. Each listing states who sells it.

For products sold by a third-party seller, the contract of sale is between you and that seller. We provide the marketplace, take payment on the seller’s behalf, and support the transaction — we are not the manufacturer or licensor of those products.

Product descriptions, specifications, feature lists and pricing are supplied by sellers. We review listings before they are published, but we do not warrant that seller-supplied information is complete, current or error-free.

3. Accounts

• You must give accurate registration details and keep them up to date.
• You are responsible for everything done through your account, so keep your password confidential and enable two-factor authentication where it is offered.
• You must be at least 18 years old, or the age of majority where you live, to hold an account.
• Tell us immediately if you believe your account has been accessed without your permission.

We may suspend or close an account that breaches these terms, is used fraudulently, or exposes other users or the platform to risk.

4. Enquiries, demos and quotes

When you request a demo, a callback or a quote, you are asking us to pass your contact details and stated requirements to the relevant seller so they can respond. That is the point of the request, and it is the basis on which we share it.

Response times shown against a seller are historical averages, not commitments. Demos, quotes and proposals come from the seller and are subject to their own terms.

5. Orders, pricing and payment

• Prices are shown in the currency indicated at checkout and exclude tax unless stated otherwise. Applicable tax is calculated and displayed before you pay.
• An order is an offer to buy. It is accepted when we confirm it and, for licensed software, when the licence or download is issued.
• Card payments are processed by Stripe. We do not store your full card number — our records hold only the card brand, the last four digits and the processor’s reference.
• Where a listing shows no price, it is quote-only and no order can be placed for it online.
• Subscriptions renew for the stated period until cancelled. Cancel before the renewal date to avoid the next charge.
• We may refuse or cancel an order if a listing carried an obvious pricing error, if stock or licences are unavailable, or if we suspect fraud. Anything already charged is refunded in full.

6. Licences, delivery and returns

Digital products are delivered as licence keys, download links or account provisioning, usually immediately after payment clears. Your use of them is governed by the licence terms of the software publisher in addition to these terms.

Because a delivered licence key cannot be un-issued, digital products are not returnable once the key has been revealed or the download started, except where the product is faulty, does not match its description, or the seller’s own policy is more generous.

Physical hardware may be returned in unused, resalable condition within the window stated on the listing. Warranty cover is provided by the manufacturer or seller as stated on the listing.

7. Refunds

Approved refunds are returned to the original payment method. Card refunds typically settle within five to ten business days, depending on your bank. Where a third-party seller fulfils an order, we will coordinate the refund with them.

8. Reviews, questions and other content you post

You may only review a product you have genuinely used or bought. Reviews from a verified purchase are labelled as such. You keep ownership of what you post and grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce and distribute it on the platform and in related marketing.

Do not post content that:

• is false, misleading, or written in exchange for payment or other incentive;
• you did not write, or that infringes anyone’s intellectual property;
• identifies a private individual, or discloses confidential commercial terms you are not free to share;
• is unlawful, defamatory, harassing, hateful or obscene.

We moderate submissions and may edit, refuse or remove anything that breaches the above. Sellers cannot pay to have a review removed or to change its score.

9. Selling on the marketplace

Seller accounts are approved individually. To be approved you must complete verification, including evidence of the legal entity you trade as and the tax registration you invoice under. Approved sellers are responsible for the accuracy of their listings, for honouring the prices they publish, for responding to enquiries, and for the licences, warranties and support they promise.

Commission, payout schedules and any additional seller obligations are set out in the separate seller agreement you accept during onboarding. We may suspend a listing or a seller account that breaches it.

10. Acceptable use

• Do not scrape, crawl or bulk-extract listings, prices or reviews without our written permission.
• Do not attempt to gain unauthorised access to any account, server or network connected to the platform.
• Do not upload malware, or interfere with the availability of the service for anyone else.
• Do not use the platform to send unsolicited commercial messages to other users.

11. Intellectual property

The TheNextGenInnovation name, logo, site design, editorial content and the compilation of listings, reviews and comparison data are owned by NextGen Tech Innovation LLC or its licensors. Product names, logos and trademarks belong to their respective owners and appear here to identify those products.

12. Availability and changes

We aim to keep the platform available continuously but do not guarantee uninterrupted access. Features may be added, changed or withdrawn. We may update these terms; where a change is material we will tell you before it takes effect, and continuing to use the platform after that means you accept the change.

13. Disclaimers and liability

Except as expressly stated, the platform is provided “as is”. Advisory content, shortlists and comparison tools are informational and do not amount to professional advice — the decision to buy any product is yours.

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or business opportunity. Our total liability arising out of or in connection with an order is limited to the amount you paid for that order.

Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

14. Governing law

These terms are governed by the laws of the State of Texas, United States, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer rights you have where you live.
